Cold Dark Shell vs Vanilla Shell vs Warm Shell: What Florida Business Tenants Need to Know Before Signing a Lease
By Pajaziti & Associates · Licensed Commercial GC, CBC1265699 · Palm Beach County, FL
If you're searching for commercial space in Palm Beach County, you'll quickly encounter terms like "cold dark shell," "vanilla shell," and "warm shell." These terms significantly affect how much your build-out will cost — but they're often misunderstood or inconsistently used by landlords. Here's a clear breakdown from a contractor who builds these spaces out every week.
Cold Dark Shell (Also Called "Cold Shell")
The most bare-bones delivery condition. A cold dark shell typically includes:
- Structural concrete floor slab
- Exterior walls and roof
- No interior partitions
- No HVAC
- No electrical (other than a main panel)
- No plumbing
- No ceilings
- No storefront glass (in some cases)
Build-out cost from cold dark shell: Highest. You're starting from a concrete box. Everything is your responsibility. Budget $100–$200+ per square foot depending on use type.
Vanilla Shell (Also Called "White Box")
The most common delivery condition for retail and office spaces in Palm Beach County strip centers and office parks. A vanilla shell typically includes:
- Demised space with perimeter drywall (unfinished)
- Concrete floor
- HVAC rough-in or stub-outs (not necessarily sized for your use)
- Electrical panel in the space
- Basic plumbing stub-outs
- Storefront glass and entry door
- Restroom rough-in (location only)
Build-out cost from vanilla shell: Moderate. The infrastructure skeleton is there but you build everything else. Budget $80–$150 per square foot for most commercial uses.
Important: In Florida, "vanilla shell" is loosely defined. Always get a written definition in your lease addendum. Two vanilla shells in the same county can be delivered very differently. We've seen vanilla shells that include finished restrooms and those that include nothing but bare studs. Confirm in writing what's included.
Warm Shell (Also Called "Grey Shell")
A step above vanilla — more landlord investment upfront, lower tenant build-out cost. A warm shell typically includes:
- Finished drywall (taped, primed, ready to paint)
- HVAC system installed and operational
- Finished restrooms
- Drop ceiling grid (tiles may or may not be included)
- Basic lighting (sometimes)
- Electrical outlets at perimeter
Build-out cost from warm shell: Lowest. The major MEP and structural work is done. You're adding your specific layout, finishes, and specialized equipment. Budget $40–$90 per square foot for most office and light retail uses.
Which Shell Condition Is Better for Tenants?
It depends on your use and how much control you want over the build-out. Here's the tradeoff:
| Shell Type | Your Build-Out Cost | Your Control | TI Negotiation Leverage |
|---|---|---|---|
| Cold Dark Shell | Highest | Maximum | Strong |
| Vanilla Shell | Moderate | High | Good |
| Warm Shell | Lowest | Limited | Weak |
For restaurants and medical offices — where you need specific kitchen layouts, plumbing configurations, and MEP setups — a cold shell or vanilla shell with maximum control is usually preferable. For standard office use, a warm shell reduces cost and time to occupancy.
